Vendor / Hauler Participation Agreement
Effective Date: Upon Submission

This Vendor Participation Agreement ("Agreement") is entered into between SuperSharp, LLC dba DumpX360 ("Company," "Platform," "we," or "us") and the participating dumpster rental or waste hauling company ("Vendor" or "Service Provider"). The purpose of this Agreement is to establish the terms under which Vendor may receive service orders through the Platform.

1. Platform Overview
The Company operates a digital marketplace that allows contractors, homeowners, and businesses to locate, schedule, and purchase dumpster rental services. The Platform connects customers with independent service providers but does not operate waste hauling services itself. Vendor agrees to participate in the Platform and fulfill dumpster rental services requested by customers within Vendor's designated service area.

2. Independent Contractor Relationship
Vendor is an independent contractor and not an employee, partner, or agent of the Company. Vendor is solely responsible for: operating its trucks and equipment; hiring and supervising drivers and staff; maintaining required licenses and permits; complying with all waste hauling regulations; and handling landfill disposal. Nothing in this Agreement creates an employment or joint venture relationship.

3. Authorization to List Vendor
Vendor authorizes the Company to: list Vendor on the Platform; display Vendor's business name, service areas, and service offerings; advertise Vendor's services to potential customers; and accept and process payments for services on Vendor's behalf. Vendor grants the Company a non-exclusive license to use Vendor's business name and publicly available business information for the purpose of marketing and facilitating services through the Platform.

4. Service Areas and Availability
Vendor will designate the geographic areas it services and the dumpster sizes it provides. Vendor agrees to maintain accurate service area information, update availability when necessary, and fulfill orders accepted through the Platform in a timely manner. Vendor may decline or limit orders if necessary due to scheduling or operational constraints.

5. Pricing
Vendor establishes base pricing for dumpster rentals. The Platform may add a service fee or commission.

6. Commission and Payment
The Company collects payment from customers at the time of booking or as otherwise specified. After dumpster delivery, the Company will distribute payment to Vendor according to the agreed payment structure, less any applicable commissions or service fees. Payments to Vendor are typically issued on a per delivery basis. The Company may utilize payment processing providers such as Stripe or PayPal to facilitate transactions.

7. Service Standards
Vendor agrees to provide professional and reliable service to customers using the Platform. Vendor responsibilities include: timely dumpster delivery and pickup; maintaining dumpsters in safe working condition; communicating with customers when necessary regarding delivery timing; and complying with local disposal regulations. Vendor acknowledges that failure to maintain acceptable service standards may result in suspension or removal from the Platform.

8. Insurance and Licensing
Vendor agrees to maintain all necessary licenses and insurance required to legally provide dumpster rental and waste hauling services. Vendor shall maintain, at minimum: commercial auto liability insurance; general liability insurance; and any permits required by local or state authorities. Vendor may be required to provide proof of insurance upon request.

9. Customer Issues and Disputes
Vendor is responsible for resolving service-related issues directly related to the performance of dumpster rental services. The Platform may assist in coordinating dispute resolution but does not assume responsibility for service performance. Vendor agrees to cooperate in resolving customer complaints related to delivery issues, pickup delays, property damage, and equipment concerns.

10. Term and Termination
This Agreement remains in effect until terminated by either party. Either party may terminate participation in the Platform at any time with reasonable notice. The Company reserves the right to suspend or terminate Vendor access if Vendor violates these terms, fails to meet service standards, or fails to maintain required licenses or insurance.

11. Indemnification
Vendor agrees to indemnify and hold harmless the Company from any claims, damages, or liabilities arising from Vendor's services, vehicle operation, waste disposal practices, regulatory violations, or property damage caused during service.

12. Limitation of Liability
The Company provides the Platform on an "as-is" basis and makes no guarantees regarding the volume of orders or revenue generated through the Platform. The Company's liability, if any, shall be limited to the amount of fees paid through the Platform for the specific service in question.

13. Governing Law
This Agreement shall be governed by the laws of the State of Texas.
